I am delighted to inform you that RPC Group Plc this morning has entered into an agreement to acquire 100% share capital of Superfos Industries A/S (“Superfos”).
The acquisition is subject to shareholder approval and appropriate regulatory filings. The Board of Superfos expects the transaction to complete at or around the end of January 2011.
Superfos Industries A/S
Superfos is one of the European industry leaders in the manufacture of injection moulded, standard-range rigid plastic packaging, serving a broad range of customers in food and non-food markets. Headquartered in Taastrup, Denmark, Superfos has nine production facilities across the Nordic region, France, Poland, Spain, Belgium and the UK, and employs over 1,300 people. Superfos is highly respected in the industry for our expertise in injection moulding, and for our innovation in product development and manufacturing processes. Key products include small pots, predominantly for food applications, and pails for food and non-food applications across consumer and industrial segments.
Superfos is currently owned by financial investors IK Investment Partners and Ratos.
RPC Group Plc
RPC is a leading European supplier of rigid plastic packaging, manufacturing a wide range of standard and bespoke designs across both consumer and industrial markets. The Company is headquartered in England and operates throughout the UK, across mainland Europe and in the US, and employs over 5,900 people in over 11 countries. RPC manufactures packaging using all three core conversion processes, injection moulding, thermoforming and blow moulding.
RPC is a publicly owned company, listed on the London Stock Exchange. The annual report for the financial year ended 31 March 2010 was published on 21 June 2010 and is available to download from the Company’s website. The Company’s half-year report for the period ended 30 September 2010 was published on 30 November 2010 and is also available to download.
What does the acquisition mean for our customers?
As two of the leading European manufacturers of rigid plastic packaging, the combination of RPC and Superfos is an exciting opportunity to bring together the wealth of expertise in product design and technology that exists in each of our businesses. It is our belief that the success of both companies is founded on our common commitment to delivering high quality, innovative and differentiated packaging solutions alongside exceptional levels of customer service. We believe that our ability to deliver on this commitment can only be strengthened as a result of the acquisition.
The combination of RPC and Superfos will create a group that, from day one, will have a wider geographic reach and a truly exceptional range of high quality products. For customers of local or national scale, the decentralised approach of both RPC and Superfos will remain – you will find that the people you work with, and the products and services that you enjoy, will be unchanged as a result of the acquisition.
For customers with activities that extend across borders and for our larger multinational accounts, we hope that you will see the broadening of our geographic footprint as enhancing our ability to respond to your needs. For example, Superfos has a strong presence in the Nordic region; by contrast, this is a region where RPC currently has no manufacturing facilities. In the UK, Superfos has just one manufacturing site; RPC has 12. With more people in more sites across Europe, and with a greater portfolio of products, we expect to be able to offer a greater level of flexibility and choice.
